Terms of Service

These Terms of Service ("Terms") govern your access to and use of ClearMate. By using the Service, you agree to these Terms. Please read them carefully — they include important limitations of liability and disclaimers.

1. Acceptance of these Terms

By accessing or using ClearMate (the "Service"), operated by Cooper Compass ("we", "us", "our"), you agree to be bound by these Terms and by our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Service.

2. The Service

ClearMate is an email-driven workspace that connects to your Gmail or Microsoft Outlook mailbox with read-only access to organize your shipment-related email and documents. It classifies messages, groups them into shipments, and surfaces related documents. The Service is provided for business use. We may add, change, or remove features and set usage limits at any time.

You must be at least 16 years old and capable of forming a binding contract. The Service is intended for business and professional use.

The Service relies on third-party platforms, including Google (Gmail) and Microsoft (Outlook / Microsoft Graph). Your use of those platforms is governed by their own terms, and our access to their data is subject to their API policies — including the Google API Services User Data Policy and its Limited Use requirements. We are not responsible for third-party services.

7. Intellectual property

The Service, including its software, design, and content (excluding your data), is owned by Cooper Compass and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service per these Terms. You retain all rights to your own data and mailbox content; you grant us the rights necessary to process that data solely to provide the Service.

Our handling of your data is described in our Privacy Policy, incorporated by reference. We access your mailbox on a read-only basis and do not send, delete, or modify your email.

9. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, express, implied, or statutory, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that classifications and extracted details will be accurate. ClearMate is an organizational aid and is not a system of record for customs, legal, or financial compliance — you remain responsible for verifying shipment information against authoritative sources.

10. Limitation of liability

To the maximum extent permitted by law, in no event will Cooper Compass or its affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill. Our total aggregate liability for any claim will not exceed the greater of the amounts you paid us for the Service in the twelve months before the claim, or USD 100.

You agree to indemnify and hold harmless Cooper Compass and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any law or third-party rights.

12. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or to protect the Service or other users. Upon termination, your right to use the Service ends and we handle your data as described in the Privacy Policy.

13. Governing law & disputes

These Terms are governed by the laws of the jurisdiction in which Cooper Compass is established, without regard to conflict-of-laws principles. The courts of that jurisdiction have exclusive jurisdiction over any dispute, except where applicable law gives you the right to bring a claim in your local courts.

14. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, notify you. Continued use after changes take effect constitutes acceptance.
